Terms & Conditions

1. Definitions

Agreement: The contractual relationship between rvwd.ai and the Customer, including these Terms and any associated order forms or documents.

rvwd.ai: The web-based employee review and 1:1 meeting tracker operated by [Your Legal Entity Name], based in Belgium.

Customer: The individual or legal entity that enters into an Agreement with rvwd.ai for the use of its Services.

User: An individual authorised by the Customer to use the Service under the Customer’s account, including employees, contractors, and agents.

Service: The rvwd.ai software platform, including all functionality, documentation, support, maintenance, and any associated services.

Subscription: The paid plan that grants access to the Service based on the number of Users and other criteria as defined in the Agreement.

Subscription Term: The period during which the Customer is entitled to use the Service under the Agreement.

Personal Data: Any information relating to an identified or identifiable individual as defined under the General Data Protection Regulation (GDPR).

Data: All information, including Personal Data, input or collected through the Service by or on behalf of the Customer.

Confidential Information: Any non-public, proprietary, or sensitive information exchanged between the parties in relation to the Agreement.

Intellectual Property Rights: All intellectual property rights including but not limited to copyright, trademark, design rights, trade secrets, and patents.

Documentation: User manuals, guides, and support documents provided by rvwd.ai to assist in the use of the Service.

2. Applicability and Acceptance

These Terms govern all agreements and use of the rvwd.ai platform. Acceptance occurs upon contract signature or account registration. Updated Terms will be notified to users, and continued use implies acceptance.

3. Rights Granted

You receive a limited, non-exclusive, non-transferable license to use the rvwd.ai software for internal business use during the subscription term, subject to compliance with these Terms.

4. Data Ownership & Intellectual Property

You retain ownership of your data. rvwd.ai retains all IP rights to the software, tools, and infrastructure. No rights are transferred except as explicitly granted.

5. Users and Access

Access is granted per user license. Users must keep credentials secure and are prohibited from sharing accounts. rvwd.ai may audit usage for compliance.

6. Use Restrictions

No illegal, harmful, or infringing content

No reverse engineering, redistribution, or misuse of the software

Violation may result in suspension or termination

7. Tools and Monitoring

rvwd.ai may use tools for system performance, support, and auditing, without unauthorized access to customer data unless required for support or legal compliance.

8. Third-Party Services

rvwd.ai may rely on third-party providers (e.g., AWS). Their respective terms apply where relevant. rvwd.ai is not liable for third-party failures.

9. Audit

rvwd.ai may audit use of the service with notice to ensure compliance. Non-compliant use may result in fees and/or service limitations.

10. Warranties and Disclaimers

The software is provided "as is." No guarantees are made about uninterrupted or error-free use. Liability is limited to fees paid in the last 6 months.

11. Trial Period

Trial use is provided without warranties and for non-production purposes only.

12. Services and Support

Includes onboarding, support, maintenance, and optional consulting services. rvwd.ai performs on a best-effort basis and expects active customer cooperation.

13. Fees and Taxes

Fees are per-user and billed in advance. Prices may be indexed annually. Late payments may result in interest charges and service suspension.

14. Confidentiality

Both parties agree to maintain confidentiality and restrict access to confidential data, with exceptions for legal disclosures.

15. Entire Agreement

This document and any referenced policies or contracts represent the entire agreement. In case of conflict, the specific contract prevails.

16. Limitation of Liability

No liability for indirect damages or third-party failures. Direct liability is capped at fees paid in the prior six months.

17. Termination

Contracts renew unless terminated with notice. Breach may lead to immediate termination. Upon termination, data may be deleted after a grace period.

18. Export Compliance

You must comply with applicable export laws regarding software use and data transfers.

19. Miscellaneous

Governing law is Belgian law. Disputes are subject to the courts of Antwerp. Rights are non-transferable without written consent.

20. Force Majeure

Neither party is liable for performance failures due to events outside reasonable control (e.g., natural disasters, internet outages, government actions).

21. Privacy and Data Protection

rvwd.ai complies with GDPR and other applicable laws. Data is processed only as described in our Privacy Policy and DPA.

22. Public References

You allow rvwd.ai to use your name and logo in marketing unless you opt out in writing.

23. Onboarding and Go-Live

These timelines and obligations will be detailed in your individual service agreement.

24. Resale Prohibition

You may not resell or transfer your license to third parties without written permission.
